This Services Agreement (the “Agreement”) is entered into by and between you (“User” or “you”/“your”) and Edalem Development PTE. LTD, a Singapore-registered company with its registered office at 10 Anson Road, #33-10, Suite C, International Plaza, Singapore 079903 (“Edalem,” “we,” “our,” or “us”).

By using our Services, including Edalem.io (a marketing website) and Edalem.net (a platform engine), you agree to comply with all terms and conditions outlined in this Agreement. If you are using these Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement. Together, Edalem and the User will be referred to as the “Parties.”

1. The Services

1.1 Scope of Services

Edalem provides tools and functionalities designed to streamline the creation, management, and distribution of travel products for local tour operators and travel agents. Our Services include:

• Edalem.io: A marketing website to showcase and describe our platform’s features.
• Edalem.net: The core platform engine that supports travel booking management, operational workflows, and collaboration among travel professionals.

1.2 Service Features

The Services provided by Edalem may include (but are not limited to):

• Tools for creating and managing travel products, itineraries, and bookings.
• Integration with third-party tools for payments, customer communication, and reporting.
• Addition of travel agency lists to consolidate sales and manage agency relationships.
• Creation of transfer lists for managing transportation logistics effectively.
• Creation of job lists for ground staff, including drivers and guides, to streamline operational workflows.
• Invoicing for travel agencies with built-in payment tracking and control features.
• Flexible pricing configuration to customize and optimize pricing for your travel products.
• Support for collaborative workflows between travel agents and operators.
• Secure storage and encryption of sensitive data, including client booking details.

1.3 Additional Terms

Additional terms may apply to specific features or services provided by Edalem. Such terms will be made available alongside the respective feature and are incorporated by reference into this Agreement.

1.4 User Responsibilities

• You are responsible for ensuring that your use of the Services complies with applicable laws and regulations.
• You must provide accurate, complete, and updated information as required for account registration and management.
• It is your responsibility to secure the confidentiality of your login credentials and all data uploaded to the platform.

1.5 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability to you.

3. Fees and Payments

3.1 Payment Terms

• Use of the Edalem.net platform may be subject to subscription fees or other applicable charges.
• All payments must be made using authorized payment methods specified during account setup.

3.2 Free Trials

If a free trial is offered, Users must terminate their subscription before the trial period ends to avoid automatic billing.

3.3 Changes to Fees

• Edalem reserves the right to revise fees with 30 days’ notice.

4. Data Protection and Confidentiality

4.1 User Data

• All data entered into Edalem.net, including booking details and traveler information, is encrypted to ensure security.
• Users retain ownership of all data uploaded to the platform.

4.2 Confidentiality

Each Party agrees to keep confidential any proprietary information disclosed by the other Party during the use of the Services.

4.3 Compliance with Laws

Edalem complies with applicable data protection laws, including the General Data Protection Regulation (GDPR) and the Personal Data Protection Act (PDPA) in Singapore.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in the Services remain with Edalem. Users are granted a non-exclusive, non-transferable license to use the Services in accordance with this Agreement.

5.2 User Content

Users are solely responsible for the content they upload to the platform. By using the Services, you grant Edalem a limited license to process your content for the purpose of delivering the Services.

6. Limitation of Liability

6.1 Service Availability

The Services are provided “as is” and “as available.” Edalem does not guarantee uninterrupted access or error-free operation.

6.2 Liability Cap

To the fullest extent permitted by law, Edalem’s liability for any claims arising from this Agreement will be limited to the total fees paid by the User in the six months preceding the claim.

7. Termination

7.1 Termination by User

You may terminate this Agreement at any time by providing written notice to our support team.

7.2 Termination by Edalem

Edalem may terminate your access to the Services if you violate this Agreement or if your account remains inactive for 90 days.

8. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of Singapore. Any disputes will be resolved in the courts of Singapore.

9. Amendments

We may revise this Agreement from time to time. Continued use of the Services constitutes acceptance of the updated terms.
